Bitrix24 CoPilot Additional Terms

These Bitrix24 CoPilot Additional Terms ("Terms") form a part of the between users ("You"), and Alaio ("we", "our", "Alaio") and govern Your use of the additional functionality feature Bitrix24 CoPilot.

By using Bitrix24 CoPilot, You acknowledge Your full consent with these Terms, as well as Alaio's general Terms of Service and Privacy Policy. If You do not accept these Terms, You must not use Bitrix24 CoPilot.

"Bitrix24 CoPilot" ("CoPilot") means AI-powered tools, features and functionalities integrated into our Services and Products that utilize data models trained by machine learning and artificial intelligence. These tools are designed to offer a variety of capabilities, including but not limited to generating and editing content ("Output", as defined below, such as websites, text, images, etc.), summarizing information (including from videocalls), answering questions, and providing other CoPilot functionalities that Alaio may make available to You from time to time. CoPilot is designed to empower users to perform various tasks that enhance collaboration and productivity.
"Input" refers to any type of data You submit for processing by CoPilot, including but not limited to text, images, or voice recordings.
"Output" refers to any data, content, or material generated and returned by CoPilot in response to Your Input or as a result of Your use of certain Bitrix24 functionalities that support CoPilot. This may include, but is not limited to, text (including recommendations), images, voice responses, or other generated content.
"Content" - both Input and Output. Content is considered your User Content.

1. CoPilot made available through external technologies using artificial intelligence ("AI Technology(ies)"), which are provided by various third-party providers ("AI Providers"), as specified in section 20 List of AI Providers herein. AI Technologies do NOT constitute a part of our Services, Product, or Website.

2. By using CoPilot You confirm that You understand, agree and accept the terms of the AI Provider's terms of use or license conditions as made available to You by references below ("AI Provider's Terms"). You are responsible for monitoring and complying with the applicable AI Provider's Terms. If the AI Providers amend any provisions of their AI Provider's Terms, the updated AI Provider's Terms will apply to You.

3. When using the functionalities of the Services and Product that supports CoPilot, CoPilot may be launched automatically along with the corresponding functionality. IF THE USER HAS NOT DEACTIVATED COPILOT BEFORE USING CERTAIN FUNCTIONALITY, THE ACTIVATION OF THE SAID FUNCTIONALITY WILL ENTAIL THE ACTIVATION OF COPILOT. NO ADDITIONAL ACTIONS ARE REQUIRED FROM THE USER TO ENABLE COPILOT. CoPilot will operate in accordance with the predefined settings, which may involve the automatic collection and processing of data necessary for performing its tasks, including its transfer to the AI Providers. THE ADMINISTRATOR HAS THE OPTION TO DEACTIVATE OR REACTIVATE COPILOT FUNCTIONALITY WITHIN THE BITRIX24 CUSTOMER ACCOUNT SETTINGS. Until CoPilot is deactivated by the Administrator, it remains available for use by any User within the Bitrix24 Customer Account.

4. CoPilot, or certain functionalities of the Services and Product that support CoPilot, or the corresponding AI Technology, may become unavailable, blocked or prohibited for use in Your country by AI Provider or by Your applicable law.

5. CoPilot may be unavailable or perform slowly due to reasons caused by the relevant AI Provider and not Alaio.

6. Fair Usage. Alaio reserves the right to enforce fair usage limits on CoPilot to maintain optimal service availability and performance. These limits may include restrictions on the number or frequency of Inputs submitted by You and/or within a single Bitrix24 Customer Account. Such restrictions will depend on Your Service Plan and are intended to minimize the load on our infrastructure or that of the AI Provider.

7. Input and Output.
a. You must ensure that both Input and Output comply with all applicable laws, and these Terms;
b. Alaio neither creates nor modifies Your Input or Output in any way and does not initiate the generation of Input or the publication of Output. IN ALL CASES, YOU, AND NOT ALAIO, ARE CONSIDERED THE CREATOR OF ANY CONTENT. Alaio does not and should not have any knowledge of the possible illegitimacy of Your Input or Output and may not be aware of violation of the rights of third parties or breaching the applicable law;
c. Output is generated in response to an Input. You are responsible for any Input you submit to CoPilot. Your rights to the Output generated through CoPilot are determined by the AI Provider Terms of the applicable AI Technology. You are solely responsible for the Content development, content, and use;
d. Output may not be unique across users and the same or similar Output may be generated for other users upon entering a similar Input. Output that is requested by and generated for other users is not considered Your Content;
e. Output generated by CoPilot is based on AI models and may not accurately reflect real facts, meet specific requirements, or align with Your standards;
f. CoPilot is not intended for handling any types of sensitive data, You should avoid including any sensitive or legally protected information in your Input;
g. Output may include watermarks. Usage of any technical or other means to remove, alter or hide watermarks is prohibited.

8. Use of Content by AI Providers. AI Providers can use your Content including for the purposes of provision, maintainance, development, and improvement of their AI Technologies as described in the relevant AI Providers' Terms.

9. License Grant and Permitted Uses. You grant Alaio a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license and all other rights to the Content (Input and Output). This license is granted for purposes of providing, maintaining, and improving CoPilot functionality; developing, training, and enhancing AI models; troubleshooting issues; ensuring the security and reliability of our services and products; complying with legal and regulatory requirements; generating aggregated or anonymized data for analytics, research, and innovation; and other purposes aimed at improving the quality of services and products delivered to You.

10. Alaio's Use of Your Content for AI Development. ALAIO MAY USE YOUR CONTENT TO CREATE, IMPROVE, AND TRAIN ITS ARTIFICIAL INTELLIGENCE MODELS. This includes the collection, analysis, recording on physical media, categorization, analysis, accumulation and storage, refinement (technical modification, adaptation), extraction, use, deletion, and destruction of such data. You represent and warrant that You have all necessary rights and permissions for the Content to be used by Alaio.

11. You represent and warrant that you have obtained all necessary consents and possess all necessary rights to transfer the information contained in your Input to the AI Provider of the applicable AI Technology and Alaio. You accept full responsibility for the transfer of personal data and any consequences arising from the processing of personal data submitted by you to Alaio and the AI Providers.

12. Pre-prompts. Alaio provides pre-configured short instructional or interrogative texts ("Pre-prompts") in CoPilot to facilitate structured and targeted interaction between the user and artificial intelligence. You may use these pre-prepared Pre-prompts or create your own when connecting the AI Technology of your choice to CoPilot. Users may provide Alaio with the data on CoPilot's performance and interaction with the AI Technology to support the improvement of such Pre-prompts.

13. You agree to familiarize Your users with the Terms before granting them access to CoPilot. The use of CoPilot by Your users confirms that You have fulfilled this obligation and assumes your responsibility for the actions of the users of your Bitrix24 Customer Account.

14. CoPilot Usage Restrictions. You agree not to:
- use CoPilot in a way that violates or attempts to violate any national or international law or regulation, or the respective AI Provider's Terms;
- utilize CoPilot in a manner that infringes, violates or misappropriates Our rights or the rights of any third party;
- generate or distribute Output that is misleading, deceptive, harmful, incites violence, promotes illegal activities, violates moral or ethical standards, contains profanity, or advocates hatred or discrimination, or create political campaign materials or spam;
- attempt to, or assist anyone, to reverse engineer, reverse assemble, decompile, translate, engage in model extraction or stealing attacks, or otherwise seek to discover the source code or underlying components of models, algorithms, or systems of CoPilot or underlying AI Technologies, except where such restrictions are expressly prohibited by applicable law;
- use Content to develop models, products, services, datasets, foundation models, or other large-scale systems that compete with CoPilot;
- use CoPilot for fully automated decision-making that could adversely affect an individual's legal rights or lead to any other significant outcomes impacting their rights or well-being;
- modify or create derivative works of CoPilot;
- mislead or imply that Output was human-generated when it is not.

15. You acknowledge and agree that:
- You are solely responsible for monitoring and enforcing the applicable laws governing the use of artificial intelligence in Your territory;
- You use CoPilot at your own risk and discretion. You are solely responsible for any violations, legal issues, breaches, infringement of third-party rights or violations of applicable laws resulting from your use of the Output;
- You take responsibility for complying with these Terms and the applicable AI Provider's Terms. Alaio is not liable under any circumstances for Your violations of the terms or policies of any provided by Alaio AI Provider's or any alternative AI Providers beyond those specified in the Terms. Should You choose to engage with alternative AI Providers, You do so at your own discretion and assume all associated risks;
- You are solely responsible for providing access to your data and information, including any legally protected information such as state secrets, banking, tax, commercial, medical, or other confidential data, when using CoPilot by submitting Inputs. You acknowledge that the AI Technology processes the submitted information independently of Alaio. Alaio bears no responsibility for how the AI Technology or AI Provider manages your data or ensures its security;
- certain functionalities of our Services and Product may allow You to use CoPilot for speech recognition, including transcribing video- and audio-calls into text. CoPilot may automatically process such calls from the first use if such an option is available. In such cases, you are obligated to take all necessary legal measures to ensure the lawful processing (including recording) of telephone calls, video calls, and the subsequent use of the obtained data, including personal data, in CoPilot's operations;
- Alaio may disable or reduce the performance of CoPilot, either entirely or within specific functionalities, at its sole discretion.

16. Alaio is not responsible and shall not be held liable for:
- any damage, loss of income, profit, revenue, information, data, or savings arising from using or inability to use CoPilot and/or Output. This also includes any consequences arising from Your choice of AI Technology;
- any violation of the rights of third parties or breaching the applicable law resulting from Your use of CoPilot and Output;
- the fact and/or consequences of Your information or data being compromised as a result of using CoPilot;
- any inaccuracies, results, or information obtained from the use of CoPilot. You agree to independently verify and review the Content before using it for any critical or sensitive purposes, accepting full responsibility for any risks or consequences associated with its use;
- Output which may be inappropriate, illegal, offensive, harmful, defamatory, or otherwise objectionable in any manner;
- the availability or downtime of the AI Technologies impacting the operation of CoPilot.

17. Alaio reserves the right to block or limit the use of CoPilot:
- in the event of implementation of national or international, legal or other restrictions on the use of the AI technology in general or specifically on the technology provided by a particular AI Provider;
- at our sole discretion, including when we have reason to believe that You are violating these Terms based on available information, including claims submitted by third parties.

18. AI Technologies Usage Terms
18.1. Content generation is performed through AI Technologies, selected by the User and/or the Administrator.
18.2. Alaio provides You with an option to engage with alternative AI Providers beyond those specified in the Terms in AI Providers provided by Alaio section. Should You choose to proceed, You do so at your own discretion and assume all associated risks. It is Your sole responsibility to adhere to the terms and conditions established by these AI Providers and comply with all applicable legislation, including personal data laws.
18.3. Each User has the ability to choose from any of the available AI Technologies during their use of CoPilot, including third-party AI technologies connected to CoPilot by the Administrator. If a third-party AI technology is connected to CoPilot, You are solely responsible for reviewing the terms and legality of using such technology, as well as the data processing procedures, including the handling of personal data, by the chosen AI technology. In such cases You confirm that you have reviewed, understood, and accepted the terms and conditions governing the use of the connected AI technology.

19. AI Providers provided by Alaio
By using the OpenAI's AI Technologies, including but not limited to ChatGPT, Whisper, DALL-E, You agree to the Terms of Use, which can be found at https://openai.com/policies/terms-of-use, Service Terms, Content Policy; Sharing and Publication Policy; and Community Guidelines. Any Input You submit will be transmitted to the USA for processing by this AI Provider.

20. Terms Modifications
Alaio has the right to unilaterally modify these Terms by posting the updated version on the Internet at the following link.
